Standard Terms & Conditions of Business - HS Roofing & Construction Ltd

The following terms of business apply to all contracts between HS Roofing & Construction Ltd and the client. Payment of a deposit will be taken as acceptance of the following terms of business, unless otherwise agreed in writing before commencement of the project.

1. Fees & Invoicing

All fees payable to HS Roofing & Construction Ltd will be invoiced on the terms set out below:

  • All projects below £50,000.00 will require a non refundable deposit of 30% with the balance to be invoiced on the successful completion of works. If you would like to discuss staged invoices please let us know.
  • Projects in excess of £50,000 will have staged invoices throughout the project with a deposit due upfront as set out above.
  • Final invoices will only be raised on the successful completion of works
  • Final invoices are due regardless of whether scaffolding remains at the property or not
  • HS Roofing & Construction Ltd will not commence work until a deposit payment has been received.
  • HS Roofing & Construction Ltd will suggest a start date for the work when providing a quote. The date is not secure until the deposit has been received and may be subject to change due to weather or planning restraints.
  • If any additional work is identified that is not included in the original quotation, a separate quotation will be provided. Wherever possible, this work will not proceed until we have received confirmation from the client. However, if the additional work is deemed essential to allow the project to continue and to prevent disruption or delays, HS Roofing & Construction Ltd reserves the right to proceed without prior approval. In such cases, we will notify the client at the earliest opportunity and provide full details of the work carried out and associated costs. Please note that HS Roofing & Construction Ltd cannot be held responsible for any delays or additional costs where a delay in authorisation affects the progress of the original works.

  • Under the Late Payment of Commercial Debts (Interest) Act 1998 HS Roofing & Construction Ltd reserves the right to charge interest and compensation at the current statutory rate on any balances outstanding after the invoice due date and until the debt is settled in full.

  • If your job is being paid for by an insurance claim, it is your responsibility to ensure that the funds are available at the point the job is invoiced to ensure prompt payment.
  • All materials delivered to site will remain the property of HS Roofing & Construction Ltd until the client has paid for the works in full and if the client defaults in respect of any obligations to make payments under the contract. HS Roofing & Construction Ltd may enter the site and repossess and remove the materials until such time as all sums due have been paid in full, even if the materials have been installed, connected or incorporated in the works, in which case HS Roofing & Construction Ltd may dis-install, disconnect and remove the same.

2. Confirmation, Cancellation & Termination

  • If the project is canceled by the client at any time during the project, the client will be liable to HS Roofing & Construction Ltd for any, and all direct and indirect expenses and costs incurred by HS Roofing & Construction Ltd, its officers, agents, employees or contractors and any loss or earnings or other any loss whatsoever.
  • Our working hours (fully operational) are typically between 08:00 and 16:30 Monday to Friday depending on travel arrangements (Excluding bank holidays).

3. Site Information & Preparations

  • The client will be responsible for ensuring that the site is safe for HS Roofing & Construction Ltd and its sub-contractors to carry out the works and that it contains no hazards or dangerous features which were not disclosed by the client or reasonably apparent to HS Roofing & Construction Ltd on inspection of the site prior to the issue of any proposals.
  • HS Roofing & Construction Ltd assume that the client has made all the relevant preparations in regard to ensuring that all areas are ready for our works to commence on the date agreed and all planning restrictions have been adhered to.

4. Insurances

  • Both HS Roofing & Construction Ltd and the client will arrange and keep in force insurance sufficient to cover their respective risks and liabilities in respect of all damage and injuries to property and persons on site from the commencement of the works.
  • HS Roofing & Construction Ltd will not be liable for any minor movements in the rafters that can cause hairline cracks or similar within the property. Some movement should be expected due to the change in weight when the existing roof tiles are removed and then replaced.
  • Whilst every care is taken when all roofs are re-roofed, no responsibility can be accepted for damage to ceilings, or to any valuable or breakable items below the working area. Any such items should be removed or suitably protected by the client.
  • Without limiting the above, although HS Roofing & Construction Ltd will take reasonable care to prevent damage by rain, wind, etc, HS Roofing & Construction Ltd will not be liable for any loss or damage caused by any such risk.
  • HS Roofing & Construction Ltd liability for death or personal injury to any individual caused by negligence or its contractors or agents is limited to £5,000,000.
  • Without prejudice to the above, the maximum liability of HS Roofing & Construction Ltd for all other events shall not exceed the contract price.
